Seminar Content
In this one day seminar we explore the key aspects of an acquisition or disposal of a private limited company registered in England and Wales and subject to English law including:
- Preliminary consideration and management, various acquisition methods and structures, MBO’s, MBI’s etc
- Acquisition finance, taxation and due diligence
- Key transaction documents
- Warranties and indemnities
- Common practical issues and stumbling blocks, how to successfully transfer a company’s most valuable assets such as intellectual property, employees and real estate etc.
- Signing and completion
